Buy Kiwi Collective Terms and Conditions – Effective 6th November 2025

These are the terms and conditions on which Buy Kiwi Limited offers the Buy Kiwi Sellers service to you.

Buy Kiwi is built for, and only for, New Zealand owned businesses.

Our aspiration is to help Kiwi business thrive & prosper as we believe this is good for New Zealand, our future generations, and for the communities we operate in. We do this by connecting Kiwi consumers with Kiwi businesses via the Buy Kiwi Marketplace: www.buykiwi.co.nz and/or www.buykiwidirect.co.nz

We always insist on the highest of standards with customer service, quality and to put it simply- to do the right thing at all times.

We insist on the same from all we operate with and have a zero-tolerance level for anything less.

If you are a New Zealand business owner, and you have the same values as described above, we would love to have you onboard.

To list your products on Buy Kiwi you must accept the terms and conditions noted below, have a Shopify website and be approved by Buy Kiwi in writing.

If you do not accept these terms and conditions, you cannot be approved to join Buy Kiwi.

We may update these terms and conditions from time to time.

We will notify you of any changes before they take effect.

There will normally be 30 days’ notice for any changes, unless we advise otherwise.

These terms and conditions are in addition to Buy Kiwi’s standard terms and conditions which continue to apply.

Eligibility criteria

If you are a New Zealand owned business (defined as at least 80% by New Zealand residents or citizens (if another New Zealand Company or entity is an owner or part owner of your business, the percentage of New Zealand ownership of that company or entity will also be taken into account) using Shopify as your eCommerce solution, and would list your products on buykiwi.co.nz, you must ask for our approval first.

If you are an overseas owned business (defined as majority shareholdings are outside of New Zealand), and would like to list your products on buykiwidirect.co.nz, you must ask for our approval first.

You can ask for approval by registering your interest at https://buy.kiwi/become-a-buy-kiwi-seller/ or via https://www.shopify.com/collective & installing the Collective: Supplier App and inviting Buy Kiwi and/or Buy Kiwi Direct as a retailer.

We may decline to allow your access to our Buy Kiwi marketplace at our sole discretion, but we will usually allow you access if you are a New Zealand business, unless your existing trading history suggests a failure to comply with the law and/or our Buy Kiwi’s standard terms and conditions, or your products and/or services do not align with Buy Kiwi’s standards, other inappropriate behaviour, or behaviour not aligned with the Buy Kiwi brand.

Management of your Buy Kiwi Shopify Collective Channel

2.1. You must nominate a person (or people) with the authority to operate your Buy Kiwi Collective Channel. Buy Kiwi will accept instructions only from authorised people. The people you nominate must have the authority to make decisions on customer service matters/complaints.

2.2. You must maintain a consistent product range, in terms of the type, quality and number of products listed. Any significant variation of the product range must be approved by Buy Kiwi.

2.3. You must maintain a high standard of customer service, respond promptly to customer enquiries, have a consistent and effective complaints handling process, and resolve customer complaints in a timely and fair manner.

2.4. You must comply with all relevant Buy Kiwi policies always including complying with Buy Kiwi’s terms and conditions.

2.5. You must comply with all applicable laws, including the Consumer Guarantees Act 1993, Fair Trading Act 1986, Sale of Goods Act 1994 and the Contractual Remedies Act 1979, Privacy Act 2020 as well as any applicable product safety standards.

2.6. You will ensure discounted pricing and clearance labelling on your listings are used responsibly and are not likely to mislead or deceive others. We may limit your access to the ‘was/now’ pricing function if we have concerns about your use of discounted pricing, or if you are in breach of these terms and conditions.

All pricing including shipping must be consistent with what is offered on your business website & other channels, and Buy Kiwi customers cannot be charged a higher amount for shipping or products under any circumstances.

Buy Kiwi reserves the right to amend your prices including shipping charges without notice where prices are found to be higher on www.buykiwi.co.nz and/or www.buykiwidirect.co.nz than what is offered on your direct to consumer website or other channels utilised by your business.

This may also result in your products being removed, suspension and or termination from the Buy Kiwi Marketplace.

Buy Kiwi reserves the right to implement sitewide sales via discount code or checkout rules during peak seasons, including Black Friday, Christmas/New Years.

Buy Kiwi will provide sellers with written notice of sitewide sales commencement date and the discount amount (minimum of 10%) 21 days prior (minimum). Sellers must provide 7 days’ notice (minimum) prior to the commencement date to exclude products from sitewide sales.

2.7. You must not directly contact Buy Kiwi and/or Buy Kiwi Direct customers for any reason without Buy Kiwi’s prior written consent.

All customer communications come from Buy Kiwi or Buy Kiwi Direct directly.

Only when Buy Kiwi/Buy Kiwi Direct emails a customer with the seller copied in the email, can the seller engage with the customer, copying Buy Kiwi/Buy Kiwi Direct into the email chain at all times.

It is not permitted to add Buy Kiwi and/or Buy Kiwi Direct customers to your marketing lists etc and doing so may result in a breach of New Zealand legislation such as the Privacy Act 2020, termination of your Seller agreement and a claim for loss of Buy Kiwi revenue by Buy Kiwi.

At all times, Buy Kiwi retains full and exclusive ownership of all customer data generated by Buy Kiwi or Buy Kiwi Direct.

2.8. You will send your product reviews at the start of each month in a excel file format to be published on the Buy Kiwi or Buy Kiwi Direct website.

Fees

3.1. You must pay the following fees, plus applicable GST:

Standard Sellers setup fee:

$269.00 payable prior to the launch of your Buy Kiwi Collective Channel .

Monthly subscriptions:

All Buy Kiwi subscriptions such as Business Listings, eCom Basic, eCom Gold & eCom Platinum have a minimum term of 12 months, thereafter monthly renewable unless specified otherwise at the time of sign-up. The monthly fees are as per the agreement entered into.

Commission:

The agreed percentage commission (success fees) inclusive of GST will be deducted from all sales completed via your Buy Kiwi Collective Channel.

The commission is agreed upon and accepted at the Buy Kiwi Collective Channel set up phase and is confirmed by Buy Kiwi in writing.

Buy Kiwi can vary the success fee by giving seven days’ notice.

Sales, less the success fees, are automatically paid via Shopify Collective, usually in a 48 to 72 hour period.

Other:

Any other fees as agreed to as part of the store set-up phase or for the operation of the Buy Kiwi Collective Channel thereafter.

General

4.1. Buy Kiwi will provide you with specifications for images & data feeds for your Buy Kiwi Collective Channel and you must provide suitable images & suitable data format. Buy Kiwi may update image specifications from time to time and you must update your Buy Kiwi Collective Channel images to meet the new specifications.

4.2. You must not provide your phone number, website and/or physical address on your Buy Kiwi or Buy Kiwi Direct product listings.

4.3. Buy Kiwi allows third party sellers (Buy Kiwi Sellers) to list and sell their products on www.buykiwi.co.nz and/or www.buykiwidirect.co.nz.

While Buy Kiwi helps facilitate transactions that are carried out on www.buykiwi.co.nz and/or www.buykiwidirect.co.nz Buy Kiwi is neither the buyer nor the seller of the seller’s items (unless stated otherwise in a written agreement).

Buy Kiwi Sellers are solely responsible for the nature and quality of the products or services provided, and for delivery, and support of said products.

Buy Kiwi does not have any means to 100% determine whether any purchase through the site is accurate or correct, or is erroneous or suspicious outside of the normal fraud tools available with Shopify.

If you are unsure or suspect a transaction is erroneous or suspicious you should contact Buy Kiwi before fulfilling the transaction.

Buy Kiwi Sellers are solely responsible for any losses incurred due to erroneous, disputed or fraudulent transactions in connection with the use of the Buy Kiwi Seller services.

4.4. Customer returns and refunds, and the processing of returns and refunds are the sole responsibility of the Seller, excluding returning any funds paid by the customer to the customer, which Buy Kiwi facilitates.

Buy Kiwi insists all Sellers not only comply with the Consumer Guarantees Act 1993, Fair Trading Act 1986, Sale of Goods Act 1994 and the Contractual Remedies Act 1979, as well as any applicable laws & product safety standards but also apply a common-sense approach with customer satisfaction, fairness and doing the right thing by the customer & the Buy Kiwi brand.

4.5. Customer payments are via the Buy Kiwi Marketplace & Seller payouts, less the success fees, are automatically paid via Shopify Collective, usually in a 48 to 72 hour period.

4.6. You must not link to any third-party website without our prior written consent. You must demonstrate a commitment to selling through Buy Kiwi or Buy Kiwi Direct and not incentivise or solicit customers sourced via the Buy Kiwi marketplace platform to transact with you outside of the Buy Kiwi platform.

4.7. Buy Kiwi can remove or decline to display content if we believe it is likely to negatively affect Buy Kiwi’s website and/or brand or other users’ experience of Buy Kiwi.

4.8. You must not drop-ship or use any other type of on-behalf shipping arrangement, or operate multiple memberships or multiple Buy Kiwi Sellers, without Buy Kiwi’s approval in writing. Buy Kiwi has the sole discretion to grant or withhold this approval.

4.9. Buy Kiwi reserves the right to set conditions for the operation of your Buy Kiwi Collective Channel.

Buy Kiwi will notify you of such conditions (Special Conditions) in writing and you must agree to comply with these to use the Buy Kiwi Collective Channel.

4.10. The sale of alcohol is permitted only if consent is issued by Buy Kiwi in writing. Buy Kiwi will notify you of the conditions relating to the sale of alcohol (Special Conditions- Alcohol) in writing, which includes complying with all applicable New Zealand laws, and you agree to comply with these.

4.11. Your Buy Kiwi Collective Channel is not transferable without our written consent.

4.12. Sellers will use an email address that includes the domain name of the seller’s website for communications to Buy Kiwi/Buy Kiwi Direct and its customers to ensure trust and credibility.

Email addresses not in this format will not be accepted for example: hotmail.com ; gmail.com

Closure or suspension

5.1. You may close your Buy Kiwi Collective Channel at your discretion by giving Buy Kiwi 60 days’ notice in writing.

Your Buy Kiwi Collective Channel will close at the end of the 2nd billing period in which Buy Kiwi receives such notice from you, or at the end of the minimum agreed term, or on a date mutually agreed.

5.2. Buy Kiwi may suspend your Buy Kiwi Collective Channel if you breach these terms and conditions.

Buy Kiwi will notify you of any suspension, the nature of the breach, and the steps you must take to have your Buy Kiwi Collective Channel reinstated.

Once you have remedied the breach to Buy Kiwi’s satisfaction Buy Kiwi will reinstate your Buy Kiwi Collective Channel . You will not be entitled to any reduction of fees during the period of your Buy Kiwi Collective Channel ’s suspension.

5.3. Buy Kiwi may terminate your Buy Kiwi Collective Channel at its sole discretion by notifying you in writing.

Your Buy Kiwi Collective Channel will close at the end of the billing period in which Buy Kiwi sends you such notice, or on a date mutually agreed.

5.4. In case of any suspension or termination of your Buy Kiwi Collective Channel you agree to complete any trades with Buy Kiwi customers in a timely and fair manner.

Termination

6.1. Buy Kiwi takes the experience of its members and Buy Kiwi’s brand reputation with the highest of regard.

It has a zero-tolerance policy in regard to actions, or lack of actions, whether intended or not, that diminish customer experience for Buy Kiwi members and can or could impact Buy Kiwi’s reputation or does or could impact Buy Kiwi’s operational effectiveness.

6.2. In the event that Buy Kiwi, at its sole discretion, is not satisfied with the experience of its Members or has concerns regarding the potential negative impact on the Buy Kiwi brand, and/ or operational effectiveness, Buy Kiwi may terminate your Buy Kiwi Collective Channel at its sole discretion by notifying you in writing.

Your Buy Kiwi Collective Channel could be suspended with immediate effect and your Buy Kiwi Collective Channel will close at the end of the billing period in which Buy Kiwi sends you such notice, or on a date mutually agreed.

You will not be entitled to any reduction of fees during the period of your Buy Kiwi Collective Channel ’s suspension.
